Zhanar gained specialized experience in Oil and Gas, Mining and Energy sectors by advising major Kazakh companies, international investors and quasi-public sector companies on a wide range of issues, including industry-specific regulation.

Zhanar’s experience includes conducting due diligence of oil and gas and mining companies in the context of M&A transactions, structuring of cross-border deals, advising on regulatory issues. She worked in a number of cross-border transactions in the subsoil sector, advised on foreign investment, financial matters and general corporate and commercial issues in Kazakhstan, including the issues on sale and purchase of participatory interests in companies, receiving of consents and licenses.

For many years Zhanar has been recommended by the leading international legal directories including Chamber and Partners, The Legal 500, IFLR1000 and Asialaw Profiles in practices such as oil and gas, corporate and M&A. Prior to joining the Unicase team, Zhanar worked as a member of a major international law firm.

Mrs Abdullayeva has more than 16-year experience advising foreign investors, research institutions, leading national and international companies on a wide range of legal issues related to foreign investments in oil & gas, mining, energy, and renewables sectors.
  • Advising Access Power and TotalEnergies on the acquisition of 100 MW solar plant in Southern region of Kazakhstan, including conducting extensive legal due diligence of the target, analysis the ownership structure of the project company and terms of agreements/documents required in relation to the project.

  • Providing legal assistance to EBRD and the Government of Kazakhstan on reforming the tariff policy, legislative and regulatory framework for natural monopolies in various sectors of economy, including by way of introduction incentive structure of the tariff regulatory framework and increasing efficiency of decision making process.

  • Advising JSC National Company Samruk-Energy in connection with the proposed sale of shares in four natural monopoly companies engaged in production, distribution and sale of electric and heating power as well as in subsoil use.

  • Advising a consortium of European and UAE companies on acquisition of the solar energy project in Kazakhstan. The work involved due diligence, drafting and negotiation of SPA and re-registration of the target company.
