Ayan assists clients with company incorporations, re-registrations, amendments to charter capital and shareholding structures, changes to management bodies, liquidation and suspension procedures, as well as commercial contracting and due diligence. He also regularly advises on employment formalisation, work permits and visas, supporting the onboarding of foreign specialists and managers for multinational and local companies.

Ayan’s early involvement in projects for foreign investors entering the Kazakhstan and AIFC markets shaped his strong operational and business-oriented approach. His work on company structuring, corporate housekeeping, regulatory filings and dispute-related matters gave Ayana a practical understanding of how corporate, employment and migration instruments operate in real transactions and within clients business operations.

Today, Ayan is recognised internally as a key point of contact for corporate services. He leads the coordination of registration processes, manages communication with state authorities and AIFC bodies, and ensures precise execution of corporate procedures from incorporation to liquidation. Since 2024, Ayan has been supporting a wide range of local and foreign investors on corporate maintenance and business operations, advising on the creation, registration, suspension and liquidation of entities, and providing integrated guidance on employment and migration issues.

Ayan is a Corporate Services Officer at Unicase whose practice centres on the day-to-day corporate lifecycle of companies operating in Kazakhstan and across Central Asia. He provides continuous support on the establishment, registration, maintenance, restructuring and governance of legal entities, including businesses registered under AIFC regulations.
  • Advised a foreign investor entering the Kazakhstan market on company establishment, regulatory approvals, employment and migration matters, and corporate governance structuring.

  • Advised a major foreign IT company on establishing a new business presence in Kazakhstan, including LLC registration, bank account opening, obtaining an Individual Identification Number (IIN) and Electronic Digital Signature (EDS), Astana Hub registration, as well as subsequent migration and accounting support.

  • Advised a major UAE-based company on the registration of a project vehicle in Karaganda, Kazakhstan, including review of corporate documentation, assessment of cross-border notarisation and legalisation requirements in the UAE, and analysis of the implications of a corporate name change.

  • Advising TBEA Hengyang Transformer Co., Ltd. on the establishment of a joint venture for the TPP-3 project in Semey, Kazakhstan. The mandate includes full legal support for creating a joint venture between TBEA and a local partner for the development of a 260 MW power project.

  • Advised one of the largest Chinese companies on establishing a Limited Liability Company at the AIFC, providing end-to-end support on corporate structuring, document preparation, regulatory compliance, and coordination with AIFC authorities.

  • Advised a leading Chinese mining company on registering a Private Company at the AIFC, offering comprehensive support from drafting corporate documents to coordinating the full registration process and interacting with AIFC authorities. The project included preparation of shareholder resolutions, powers of attorney, Articles of Association and regulatory forms in accordance with AIFC requirements, and resulted in a regional precedent by enabling the client to obtain subsoil use rights through an AIFC-registered entity.

  • Advised a major international mining company on its entry into the Central Asian market, assisting with structuring its local presence, registering an LLP in Kazakhstan and providing ongoing corporate support. Following the successful establishment of the entity, the mandate expanded to preparing financing documentation for solid minerals exploration and participating in the process of obtaining four rare earth mineral exploration licences.
